The products and/or services that Your Help Desk provides to you are subject to the following Terms and Conditions of Use (TERMS). Your Help Desk reserves the right to update the TERMS at any time without notice to you.
NOTICE: Should you proceed to use any Your Help Desk web site or any Your Help Desk products and/or services, you acknowledge your agreement with the Your Help Desk TERMS, Privacy Policy and Legal Notices. If you do not agree with these TERMS, then do not use any Your Help Desk web sites or products or services. This is the exclusive Agreement between Your Help Desk and the user regarding its subject matter. Your Help Desk shall have the right to terminate user’s ability to access this service at any time without notice. Your Help Desk reserves the right to discontinue or modify any of the information contained on this site, or any products and/or services that Your Help Desk provides, at any time. Your Help Desk shall have the right to modify these TERMS at any time. The user may not assign any part of this Agreement without Your Help Desk's prior written consent. This Agreement, all intellectual property issues, and your rights and obligations shall be governed by the laws of the United States of America and the State of Texas governing contracts wholly entered into and wholly performed within Texas. The user shall pay any taxes on the information or transactions if applicable, except for those based on Your Help Desk's annual net income. If any provision of this Agreement is declared invalid or unenforceable, the remaining provisions of this Agreement shall remain in effect. The user agrees to comply with all applicable laws in using this service or the information contained herein. No waiver of any obligation or right of either party shall be effective unless in writing, executed by the party against whom it is being enforced. Any such waiver shall not preclude a party from exercising any other right or later exercising the same right. Any notice under this Agreement shall be delivered by U.S. certified mail, return receipt requested, or by overnight courier to Your Help Desk at the address below. These terms and Conditions of Use apply on behalf of Your Help Desk and all of its affiliates, employees, suppliers, and distributors. The Your Help Desk TERMS, Privacy Policy and Legal Notices are companion documents; you acknowledge your agreement with these legally binding agreements by your use of Your Help Desk websites, products and/or services. If you do not agree with these, then do not use Your Help Desk websites, products and/or services. |

Personal And Non-Commercial Use Limitation: Unless otherwise specified, the services are for your personal and non-commercial use. You may not modify copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from Your Help Desk products or services. |

Collection, Privacy And Protection Of Personal Information: We will ask you when we need information that personally identifies you (personal information) or allows us to contact you to provide a service or carry out a transaction that you have requested such as receiving information about Your Help Desk products and services, entering a contest, ordering e-mail newsletters, joining a limited-access premium site or service, signing up for an event or training, or when purchasing, downloading and/or registering Your Help Desk products. The personal information we collect may include your name, title, company or organization name, work e-mail, work phone, work or home address, information about your job function, information about your company, and credit card information. The Site may also collect certain information about your visit, such as the name of the Internet service provider and the Internet Protocol (IP) address through which you access the Internet; the date and time you access the Site; the pages that you access while at the Site and the Internet address of the Web site from which you linked directly to our site. You also will choose a password and a user name. You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify Your Help Desk immediately of any unauthorized use of your account or any other breach of security. Your Help Desk will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by Your Help Desk or another party due to someone else using your account or password. You may not use anyone else's account at any time, without the permission of the account holder. |

No Unlawful Or Prohibited Use: As a condition of your use of Your Help Desk Services, you will not use the Services for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Services in any manner that could damage, disable, overburden, or impair any Your Help Desk server, or the network(s) connected to any Your Help Desk server, or interfere with any other party's use and enjoyment of any Services. You may not attempt to gain unauthorized access to any Services, other accounts, computer systems or networks connected to any Your Help Desk server or to any of the Services, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services. |

Use of Services: Your Help Desk Services may contain e-mail services, communities, calendars, communication facilities designed to enable you to communicate with others (each a "Communication Service" and collectively "Communications"). Your Help Desk has no obligation to monitor the Communication Services. However, Your Help Desk reserves the right to review materials posted to the Communication Services and to remove any materials in its sole discretion. Your Help Desk reserves the right to terminate your access to any or all of the Communication Services at any time, without notice, for any reason whatsoever. Your Help Desk reserves the right at all times to disclose any information as Your Help Desk deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Your Help Desk's sole discretion. Always use caution when giving out any personally identifiable information about yourself or your children in any Communication Services. Your Help Desk does not control or endorse the content, messages or information found in any Communication Services and, therefore, Your Help Desk specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Services. Managers and hosts are not authorized Your Help Desk spokespersons, and their views do not necessarily reflect those of Your Help Desk. Materials uploaded to the Communication Services may be subject to posted limitations on usage, reproduction and/or dissemination; you are responsible for adhering to such limitations if you download the materials. |

Materials Provided To Your Help Desk Or Posted At Any Your Help Desk Web Site: Your Help Desk does not claim ownership of the materials you provide to Your Help Desk (including feedback and suggestions) or post, upload, input or submit to any Services or its associated services for review by the general public, or by the members of any public or private community, (each a "Submission" and collectively "Submissions"). However, by posting, uploading, inputting, providing or submitting ("Posting") your Submission you are granting Your Help Desk, its affiliated companies and/or licensees, and necessary sublicenses permission to use your Submission in connection with the operation of their Internet businesses, including, without limitation, all Your Help Desk Services to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission; to publish your name in connection with your Submission; and the right to sublicense such rights to any supplier of the Services. Unsolicited Idea Submission Policy: Your Help Desk or any of its employees do not accept or consider unsolicited ideas, including ideas for new advertising campaigns, new promotions, new products or technologies, processes, materials, marketing plans or new product names. Please do not send any original creative artwork, samples, demos, or other works. The sole purpose of this policy is to avoid potential misunderstandings or disputes when Your Help Desk's products or marketing strategies might seem similar to ideas submitted to Your Help Desk. Please do not send your unsolicited ideas to Your Help Desk or anyone at Your Help Desk. If, despite our request that you not send us your ideas and materials, you still send them, please understand that Your Help Desk makes no assurances that your ideas and materials will be treated as confidential or proprietary. |

Submissions/Communications: Your Help Desk has a company policy that does not allow Your Help Desk to accept or consider creative ideas, suggestions or materials other than those Your Help Desk has specifically requested. It is the intent of this policy to avoid the possibility of future misunderstandings when projects developed by Your Help Desk might seem to others to be similar to their own ideas, suggestions or materials. If you do send us any materials, including creative suggestions, ideas, notes, drawings, concepts or other information or if you transmit to Your Help Desk by electronic mail or otherwise, communications including any such information, data, questions, comments, suggestions, or the like (collectively, the "Information"), the Information shall be deemed, and shall remain, the property of Your Help Desk.
